Award Compass, Inc. & AI Entry Navigator Terms of Use

1. Acceptance of Terms

By accessing or using the Award Compass tool (“API”), you agree to comply with these Terms of Use (“Terms”). If you do not agree, you may not use the API. We reserve the right to update these Terms at any time. Continued use of the API constitutes acceptance of any updated Terms.

 

2. Eligibility

The API is intended for business-to-business use only. You represent that you are authorized to act on behalf of your organization and that you will not submit any personal information.

 

3. Purpose

The API is designed to:

  •  Accept uploaded content and materials.

  • Review and analyze such materials.

  • Generate reports and recommendations.

  • Train the Award Compass models for improvement.

 

4. License to Use API

We grant you a limited, non-exclusive, non-transferable license to use the API solely for its intended purpose. You may not:

  • Reverse engineer, modify, or create derivative works.

  • Use the API for unlawful or unauthorized purposes.

  • Use the Report generated for any purpose other than submitting your materials for the applicable award show.

 

5. Data Submission

Your materials will not be returned to you.

You are responsible for:

  • Ensuring that all uploaded submissions comply with applicable laws and do not infringe third-party rights or contain any malicious content.

  • Obtaining all necessary permissions for the data you provide.

 

6. Data Use, License to Submissions, and Privacy

  • Uploaded data and materials will be processed for generating reports and recommendations.

  • We do not claim ownership of your submissions.

  • By using the API, you grant us a perpetual worldwide royalty-free license to use the submissions for generating reports and recommendations, aggregating the data for analysis and reporting, training the Award Compass model; you agree that we may send additional messages to the email you provide.

  • You acknowledge that you are not entitled to any reports or subsequent works.

  • Data handling will comply with applicable privacy laws.

 

7. Intellectual Property

All rights in the API, including algorithms and generated reports, are owned by Award Compass. You may use the generated reports solely to upload award submissions but may not resell or redistribute them without our written consent.

 

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information exchanged through the API.

 

9. DISCLAIMERS / INDEMNIFICATION

  • The API, Reports, Recommendations, and all content are provided “AS IS” without warranties of any kind, including express or implied, accuracy, fitness for a particular purpose, title, or non-infringement.

  • There is no warranty that the API will work, be uninterrupted, secure, error free, or that any defects will be corrected.

  • We are not liable for decisions made based on API outputs.

  • You agreed to indemnify, defend, and hold Award Compass and its owners, employees, agents, and affiliates harmless from any claims, liabilities, damages, expenses (including attorney fees) in anyway relating to your use of the API, your violation of these terms, or your infringement or misuse of any third-party rights including inducing any data breach.

 

10. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount that you paid to us for API access in the preceding 3 months.

 

11. Termination

We may suspend or terminate access for violation of these Terms or misuse of the API.

 

12. Governing Law

These Terms are governed by the laws of New York, without regard to conflict of law principles.
